Terms of Service

Draft for review. This document has not yet been reviewed by a lawyer and is not in force. It is published so you can read what Hayatiq intends to offer; bracketed items are still to be settled, and the final text will be published before checkout opens.
These Terms of Service (the Terms) are a contract between you and [registered name of the FZE that operates hayatiq.ai], a free zone establishment (FZE) registered in Ajman, United Arab Emirates, under licence number [FZE licence or registration number], with its registered address at [registered address, Ajman, United Arab Emirates] (Hayatiq, we, us). They govern your use of Hayatiq Financials, the web application at financials.hayatiq.ai, and everything it produces (together, the Service).
By creating an account, joining an organisation, or using the Service, you agree to these Terms and to the Privacy Policy. If you use the Service on behalf of a company or firm, you confirm that you have authority to bind it, and "you" means that organisation. Firms that need a processor agreement can also enter into our Data Processing Agreement.
1. Definitions
- Engagement — one entity, one reporting period and the trial balances, mapping, answers and worksheet you enter for it.
- Output — anything the Service generates from your Engagement: statements, tie-outs, the disclosure checklist, note text, and any DOCX or XLSX file.
- Customer Data — the trial balances, account names, balances, mapping choices, questionnaire answers, worksheet figures, names and other content you upload to or enter into the Service, and Output derived from them.
- Organisation — the workspace that holds your Engagements; a plan belongs to an Organisation.
- Plan — the Free tier or a paid subscription (Starter, Practice, Partner) or set credits, as shown at checkout.
- Set — one generated and exported financial-statement draft for one Engagement; plans meter the Service in sets.
- Paddle — Paddle.com Market Ltd and its affiliates, the merchant of record for every purchase (section 6).
2. What Hayatiq Financials is
The Service is software. It takes a trial balance for the current and prior year, helps you map each account to a statement line, asks a short set of policy questions, collects the cash-flow inputs that two trial balances cannot yield, and then builds a draft set of financial statements — statement of financial position, statement of comprehensive income, statement of changes in equity, statement of cash flows — runs arithmetic tie-outs over them, checks them against a disclosure checklist for the framework you chose, and lays out notes for you to complete. You can then export the draft as DOCX and XLSX files.
Most of that work happens in your browser. The parsing, mapping, statement building, tie-outs and checklist run on your device; nothing about an Engagement reaches Hayatiq's servers until you choose to save it, ask the assistant, generate note narrative, or export. The Privacy Policy describes each of those four points and exactly what crosses them.
3. What the Service is not
Hayatiq provides software, not professional services. Hayatiq does not provide accounting, bookkeeping, audit, review, assurance, tax, Zakat, legal or other professional services, and does not act as your accountant, auditor, adviser or agent. Using the Service does not create an accountant–client, auditor–client, adviser–client or any other professional relationship between you (or your clients) and Hayatiq, and no duty of care of that kind arises.
Every Output is a draft for professional review. Every export and every screen that shows a figure carries this statement, and these Terms adopt it in full:
This is a DRAFT prepared for professional review. It is not audited, assured, reviewed, or certified, and it is not a statement of compliance with IFRS, IFRS for SMEs, or SOCPA.
Accordingly:
- Hayatiq makes no representation that any Output is complete, accurate, suitable for issue, or meets the requirements of any accounting framework, law, regulator, lender, exchange or filing platform. Hayatiq does not claim, and you must not present the Service as claiming, that Output has been through an audit, a review, an assurance engagement, a certification, or an endorsement by any standard-setter or authority.
- The disclosure checklist is a deterministic list of prompts written in Hayatiq's own words with paragraph references. It is not a substitute for reading the standards and does not tell you that a set of financial statements is complete.
- A statement of compliance, where the Service prints one, is the reporting entity's own assertion, rendered from a fixed template only when the checklist has no unresolved required item; it is never Hayatiq's statement and never the assistant's words.
- Hayatiq does not warrant that Output can be filed with any authority or platform (including Qawaem or any XBRL or e-filing system) or accepted by any bank, investor or regulator.
You are responsible for the Output. You confirm that a qualified professional will review every draft before it is relied on, issued, filed or shared with a third party, and that you remain solely responsible for the accounting judgements, the completeness of the trial balance and inputs, the mapping choices you confirm, the answers you give, and the final financial statements you issue.
4. Accounts, organisations and eligibility
You must be at least [eighteen (18) — lawyer to confirm the age of contractual capacity in the governing jurisdiction] years old and use the Service only for business or professional purposes. You are responsible for the accuracy of your account details, for keeping your sign-in link and any session private, and for every action taken under your account.
Sign-in is by a one-time link sent to your e-mail address; Hayatiq stores no passwords. An Organisation has at least one owner and may have members with preparer or reviewer roles. The owners are responsible for who is invited, for their compliance with these Terms, and for the plan the Organisation buys. Seats, entities, clients and sets are limited per plan and metered per Organisation.
We may refuse, suspend or close an account that breaches these Terms, that we reasonably believe is used for fraud or abuse, or that is required to be closed by law (section 17).
5. Plans, the Free tier and set credits
Plans, prices, billing cycles and limits are those shown on the pricing page and at checkout when you buy. Hayatiq may change prices for future billing periods on at least [thirty (30) days'] notice by e-mail; a change takes effect at your next renewal after that notice.
The Free tier lets you run the whole workflow and shows a watermarked draft; it does not export. Paid plans add export and the limits shown at checkout (entities, clients, users, sets per year). Set credits are one-time purchases that each allow one export on any plan; they do not expire while your account is open, and they are consumed only when an export succeeds. Unused sets in a subscription period do not carry over. Plan limits are enforced by the Service; attempting to work around them is a breach of section 8.
The Service is currently in private beta. Beta features may be incomplete, may change or be withdrawn, and are provided on the terms of section 14 whether or not they are marked "beta".
6. Payment, Paddle as merchant of record, taxes and refunds
All purchases are made from Paddle, our merchant of record. Paddle sells the subscription or credits to you, collects payment, applies and remits sales tax or VAT where required, issues the invoice or receipt, and handles refunds and chargebacks. Your purchase is also subject to Paddle's own buyer terms, shown at checkout, and your card statement will show Paddle's name. Hayatiq never sees or stores your card details.
Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled. You can cancel at any time from the billing portal; cancellation takes effect at the end of the current period, and access continues until then. [Lawyer to confirm any auto-renewal notice and cancellation-mechanism requirements in the governing jurisdiction and in the customer's jurisdiction (for example reminder e-mails before an annual renewal)].
Refunds. Because Paddle is the seller, Paddle's refund policy applies to every purchase. In addition, Hayatiq's position is: [owner and lawyer to settle — proposed: a full refund of a first subscription payment if requested within fourteen (14) days and no export has been made; set credits refundable only while unused; no refund of a renewal after the renewal date; statutory consumer-protection rights, where they apply, are not limited]. To request a refund, contact Paddle through the link on your receipt or contact us at support@hayatiq.ai and we will pass the request to Paddle.
Prices are stated in US dollars unless checkout shows otherwise; any local-currency figure shown outside checkout is indicative.
7. Customer Data and your clients
You retain all rights in Customer Data. You grant Hayatiq a non-exclusive, worldwide licence to host, process, transmit and display Customer Data only as needed to provide the Service to you, to keep it secure, and as the Privacy Policy describes. Hayatiq does not use Customer Data to train any model and does not sell it.
You confirm that you have the right to upload the Customer Data you use — including your clients' trial balances and any names of individuals in them — and that you have given any notice and obtained any consent your own law requires before doing so. Where you process personal data of your clients or their people through the Service, you are the controller and Hayatiq is your processor under the Data Processing Agreement.
No-storage mode. You can mark an Engagement for no-storage mode when saving it. This flags the saved snapshot and working rows for deletion by Hayatiq's purge job, keeping only the engagement record, upload metadata and the mapping template. [Owner to confirm the wording once the purge job runs; at the date of this draft the flag is stored but the job is not yet in operation, and the Privacy Policy says so].
8. Acceptable use
You must not, and must not allow anyone else to:
- upload data you have no right to use, or data of a kind the Service is not designed for (for example special-category personal data, card numbers, or government identifiers) beyond what a trial balance and its notes ordinarily contain;
- present any Output as an audit, review, assurance or certification of any kind, as issued or filed financial statements, or as endorsed by any standard-setter, authority or by Hayatiq, without the independent professional work those words require;
- use the Service to prepare financial statements you know to be false or misleading, or in any other unlawful way;
- share an account or sign-in link, exceed or circumvent plan limits, resell or sub-license the Service, or use it to build a competing product;
- copy, scrape, decompile or reverse-engineer the Service, its mapping rules, chart of accounts, disclosure rules or templates, except where the law allows this despite a contractual restriction;
- probe, scan or test the security of the Service or interfere with its operation, except under a written authorisation from Hayatiq;
- use automated means to submit prompts to the assistant, attempt to extract its system prompts, or use it for anything other than the mapping and note-drafting tasks the Service offers; or
- remove or obscure the draft-for-review statement, the watermark on the Free tier, or any notice in an Output.
9. The assistant
The Service includes an assistant that can suggest which statement line an account maps to, with a confidence score, and that can draft narrative sentences for notes. The assistant is powered by a third-party model provider named in the Privacy Policy. The assistant never decides anything: every mapping suggestion requires your explicit confirmation, and every figure in a note is placed by the deterministic engine and checked back against it — the model writes prose only, at temperature zero, and any draft in which a number cannot be traced to the engine is rejected before you see it.
At the date of this draft the assistant is disabled. Hayatiq enables it only once its model provider has confirmed a zero-data-retention arrangement in writing; until then no account name, balance or entity name is sent to the provider. The Service shows the assistant's controls disabled with this reason.
10. Intellectual property and trademarks
The Service — its code, design, keyword rules, standard chart of accounts, line-item schema, disclosure-checklist rules, note templates and documentation — belongs to Hayatiq or its licensors and is protected by copyright and other laws. These Terms give you a limited, revocable, non-transferable right to use the Service during your subscription; nothing transfers ownership of any part of it.
Your Output belongs to you. To the extent an Output embeds Hayatiq's templates, headings or fixed wording, Hayatiq grants you a perpetual licence to use that material as part of your Output.
"IFRS", "IAS", "IFRS for SMEs" and "IASB" are trademarks of the IFRS Foundation; "SOCPA" is the name of the Saudi Organization for Chartered and Professional Accountants. Hayatiq uses them only to describe which requirements its checklists refer to. Hayatiq is not affiliated with, licensed by, or endorsed by the IFRS Foundation, SOCPA, ZATCA or any other standard-setter or authority, and the Service does not reproduce the text of any standard.
11. Third-party services
The Service depends on third-party providers for hosting, database, e-mail, payments, networking and the assistant's model. They are listed, with what each receives, in the Privacy Policy. Hayatiq chooses and contracts with them but does not control them; a failure at a provider is treated under section 13 and section 15.
12. Feedback
If you send Hayatiq suggestions or feedback, you agree that Hayatiq may use them without restriction or payment; feedback never includes Customer Data.
13. Availability, changes and support
Hayatiq aims to keep the Service available but does not guarantee uninterrupted or error-free operation. We may change, add or remove features, and may suspend the Service for maintenance, security or legal reasons, giving notice where practicable. Support is through the in-app help and by e-mail at support@hayatiq.ai. The Partner plan includes priority support, meaning its requests are answered ahead of others; no response time is guaranteed on any plan unless the pricing page states one.
Because the engine runs in your browser, an Engagement you have not saved exists only on your device; if you clear your browser data before saving, it is gone and Hayatiq cannot recover it.
14. Warranties and disclaimers
The Service and all Output are provided "as is" and "as available". To the fullest extent the law allows, Hayatiq excludes all warranties, conditions and terms, express or implied, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy or non-infringement, and any warranty that Output will meet any accounting framework, law or regulatory requirement or be free of errors.
Nothing in these Terms limits any right that the law gives you as a consumer and that cannot be excluded by contract, if and to the extent such rights apply to a business user of the Service. 15. Limitation of liability
To the fullest extent the law allows:
- Hayatiq is not liable for any indirect, consequential, special or punitive loss, or for any loss of profit, revenue, business, goodwill or data, or for any penalty, fine or claim arising from financial statements you issue or file, however caused.
- Hayatiq's total liability to you for all claims arising out of or in connection with the Service in any twelve-month period is limited to the fees you paid to Hayatiq (through Paddle) for the Service in the twelve (12) months immediately before the event giving rise to the claim. If you paid no fees in that period (for example on the Free tier), that liability is limited to [USD 100 / nil — owner and lawyer to settle a floor for Free-tier users].
- These limits do not apply to liability that cannot be limited by law, including [lawyer to list the mandatory carve-outs in the governing jurisdiction, typically death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and any other non-excludable liability].
You agree that this allocation of risk reflects that the Service is low-cost software producing a draft for your own professional review, and that Hayatiq could not offer it at this price otherwise.
16. Indemnity
You will defend and indemnify Hayatiq and its officers, employees and contractors against any third-party claim, loss, cost or expense (including reasonable legal fees) arising from Customer Data, from financial statements or other documents you issue, file or share on the basis of any Output, from your breach of these Terms, or from your breach of law. [Lawyer to confirm the scope and procedure of the indemnity (notice, control of defence, settlement consent) and whether any reciprocal indemnity from Hayatiq, for example for intellectual-property infringement by the Service, is offered].
17. Term, suspension and termination
These Terms apply from the day you first use the Service until your account is closed. You may close your account at any time; a paid subscription continues to the end of the period already paid for. Hayatiq may suspend or terminate your access with immediate effect for a material breach of these Terms, for non-payment reported by Paddle, or where required by law, and otherwise on [thirty (30) days'] notice.
On termination, your right to use the Service ends. For [thirty (30) days] after closure you may ask for a copy of your saved Engagements as exported files, after which Hayatiq deletes them as the Privacy Policy describes. Sections 3, 7, 10, 14, 15, 16, 18 and 19 survive termination.
18. Governing law and disputes
These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by the law of [governing law — lawyer to choose, for example the laws of the Emirate of Ajman and the applicable federal laws of the United Arab Emirates, or the laws of England and Wales; consider the KSA customer base, PDPL and enforceability], and the courts of [forum — exclusive jurisdiction of the named courts, or arbitration (seat, rules, language, number of arbitrators), and whether an escalation or mediation step comes first] have exclusive jurisdiction to settle them. [Lawyer to confirm whether mandatory local law in the customer's jurisdiction (for example Saudi Arabia) overrides the choice for certain claims].
19. General
- Entire agreement. These Terms, the Privacy Policy, any Data Processing Agreement you have entered into, and the plan details at checkout are the whole agreement between you and Hayatiq about the Service and replace any earlier discussion or proposal.
- Changes to these Terms. Hayatiq may update these Terms. Material changes are notified by e-mail or in the Service at least [thirty (30) days] before they take effect; continuing to use the Service after that date is acceptance. The current version is always at financials.hayatiq.ai/en/terms with its date.
- Assignment. You may not assign these Terms without Hayatiq's written consent. Hayatiq may assign them to an affiliate or a successor in a merger, acquisition or sale of the business, with notice to you.
- Notices. Notices to you go to the e-mail address on your account. Notices to Hayatiq go to hello@hayatiq.ai [lawyer to confirm whether e-mail notice alone is effective or whether notice must also be served at the registered address in Ajman stated in the opening paragraph].
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages at a third-party provider, network blocks imposed by an internet service provider or authority, and acts of government.
- Severability and waiver. If any part of these Terms is found unenforceable, the rest remains in force. A failure to enforce a term is not a waiver of it.
- No third-party rights. No one other than you and Hayatiq has any right to enforce these Terms.
- Language. These Terms are written in English. An Arabic version, when published, is provided for convenience; [lawyer to decide which language prevails in case of conflict, noting Saudi practice].
